GEDA ACADEMY TERMS AND CONDITIONS

1. Preamble

Within the context of business relationships, GEDA (hereinafter referred to as "GEDA") offers its clients (hereinafter referred to as "Users") access to an online learning platform via GEDA Academy, aimed at enhancing understanding of our machines and services.
These Terms of Use define the conditions under which the services provided by GEDA are used. It is expressly noted that the business relationship between GEDA and the User is exclusively governed by GEDA's General Terms and Conditions, available at https://www.geda.de/agb-aeb/.
Conflicting or deviating general terms and conditions set by the user are expressly rejected.

2. Scope of GEDA Academy

GEDA Academy, an online platform, grants Users access to a wide range of knowledge resources and training content related to GEDA products and services, including, but not limited to:

Online Training Videos:
Users can choose from a variety of online training videos, encompassing both paid and free options. These videos cover diverse topics and are designed to facilitate flexible and self-directed learning for Users. Registered Users can access their activity history. Upon resuming a previously interrupted learning unit, it restarts from where it was left off.

In-person Training Booking:
The platform allows Users to book appointments for in-person training sessions held at our premises. This option offers a personal learning experience and enables direct interaction with trainers and other participants.

Webinar Offerings:
In addition to in-person training, GEDA Academy also offers the opportunity to book and participate in webinars. These live online seminars allow Users to engage interactively in training sessions, regardless of their location.

3. Access to the Platform

Access to GEDA Academy is primarily through the GEDA Central platform. Free content is accessible to Users registered with a GEDA Central Account without additional costs, and certain content is also available to guest users without login. There is no entitlement to freely accessible content. A GEDA Central Account is required for full access to GEDA Academy.
Access to paid content always requires registration. The sharing of login information is strictly prohibited (refer to GEDA Central Terms of Use, accessible at https://central.geda.de/tos).
Unless explicitly indicated otherwise, the validity of purchased access rights expires after ninety (90) days and is forfeited without replacement.

GEDA strives to provide maximum availability of its portals but does not guarantee the accessibility and availability of the GEDA Academy platform and/or individual services. GEDA reserves the right to block access in case of detected misuse. Users may be held liable for misuse.
For accessing online training videos or webinars, Users must ensure their technical conditions (up-to-date software, browser compatibility, internet speed, etc.) are sufficient and suitable for video streaming. All costs for internet connection or data transmission are borne by the User.
Participation in courses is only permitted for the User for whom the course was booked. Documents accessed may only be used by them for the duration of the use.
Participants agree not to use any devices, software, or other means aimed at circumventing or neutralizing security precautions or technical protective measures implemented by GEDA. In case of violation, GEDA reserves the right to immediately block access to the trainings or online platforms and terminate the contractual relationship without prior notice. This does not affect GEDA's further rights and claims, including but not limited to, claims for damages.

4. Requirements

The portal and all training contents are for commercial use only. By registering, the participant confirms they meet the specific participation requirements for the event and are linguistically capable of following the content. Participation requirements are detailed in the respective training descriptions. The minimum number of participants for open training sessions is four (4); for customer-specific training, the number of participants is individually coordinated. Slots are filled in the order of booking receipts.
GEDA reserves the right to make content or organizational changes, including potentially cancelling the event (e.g., due to low participation, illness of the instructor, or force majeure).
GEDA also reserves the right to require completion of certain modules before participating in specific seminars/training sessions and may deny admission otherwise. This applies to all types of training.
Upon registration, the participant will receive a confirmation of registration.

5. Certification

There is the opportunity to fill out a questionnaire after or during certain training units and receive a corresponding certificate automatically or otherwise generated by GEDA. The issuance and validity of these certificates are subject to the following conditions:
Certificates are automatically issued to Users upon successful completion of certain courses or training programs. These certificates serve as proof of acquired knowledge and skills.
Certificates may have a specific validity period, after which they may need to be renewed to continue serving as valid proof. The exact validity period is indicated on the certificate.
Issued certificates are intended for personal use only. Duplication, modification, or commercial use of the certificates without express permission is prohibited.
It is the responsibility of the Users to stay informed about the validity period of their certificates and about any requirements for renewal or updating their certificates.

6. Pricing, Rebooking, and Cancellation

Prices and fees mentioned are net amounts, with applicable value-added tax added to this net price. Displayed prices and any promotions are not binding offers, and GEDA reserves the right to withdraw or change them. No claims can be made based on current prices for past purchases.
Billing can be determined by GEDA depending on the type and content of the training. Options include, for example, the GEDA Webshop in GEDA Central or other billing methods (e.g., invoicing).
Payment is due either before booking/attending a training session or upon receipt of the invoice. Payments must be made without deduction to one of the accounts listed on the invoice or in advance via the GEDA Webshop. If a participant cancels, GEDA is entitled to charge the following cancellation fees:
- Cancellation up to 14 days before the start of the training: 50% of the training fees
- Cancellation up to 7 days before the start of the training: 75% of the training fees
If a registered participant does not attend the training without prior cancellation, 100% of the training fees will be charged. An alternative participant can be named free of charge in consultation. Rebooking to another training date is possible free of charge in consultation.

7. Data Protection

By using the "GEDA Academy" tool, GEDA reserves the right to access all collected data, to evaluate and process it, and to further develop the platform based on this.
Due to the integration of GEDA Academy into GEDA Central, the general data protection regulations of GEDA Central apply ( https://central.geda.de/data-privacy ).

8. Liability

The training sessions are conducted using the current state of technology. Despite the highest level of care, GEDA does not assume liability for the accuracy, timeliness, and completeness of the training materials, the content covered in the training sessions, and the use of the acquired knowledge. GEDA also does not assume liability for any resulting damages.
Descriptions and explanations of courses in promotional materials, online portals of GEDA, and documentation are understood exclusively as a description of the content and nature, explicitly not as a guarantee of certain properties.
GEDA does not warrant that the offered courses meet the specific requirements or purposes of the contractual partner.
GEDA cannot guarantee that the use of the courses will not infringe third-party protection or copyright rights or cause damage to third parties. Currently, GEDA has no information about such legal violations.
GEDA is liable for damages resulting from injury to life, body, or health, for damages based on intent or gross negligence, and for damages resulting from non-compliance with a given guarantee or due to a fraudulently concealed defect. This also applies to legal representatives or vicarious agents. GEDA is liable, limited to compensation for the contract-typical foreseeable damage, for such damages that are based on a slightly negligent breach of essential contractual obligations by GEDA or its legal representatives or vicarious agents. Essential contractual obligations are those whose fulfilment enables the proper execution of the contract and on the compliance of which the participant can regularly rely.
GEDA is liable for other personal and property damage caused by slight negligence limited to €1,000,000.00 per damage event.
Other claims for damages by the participant are excluded.

9. Copyright

GEDA reserves the right to adapt the content of the training/seminars and materials to the current state of technology without prior notice. This may result in deviations from the training or seminar descriptions in individual cases.
All training materials and content are protected by copyright. Reproduction of training/seminar materials for unauthorized purposes, passing them on, exploiting, and communicating their content to third parties is not permitted. Software provided by GEDA during the training for educational purposes may not be removed, copied in whole or in part, or made usable in any other unauthorized way. Video recordings, filming, or sound recordings during the training sessions are not allowed, regardless of the type and location of the training, especially for online training videos and webinars.
Violations obligate compensation for damages.

10. Accommodation/Travel

The costs of travel and accommodation are to be borne by the training participant. Unless expressly stated otherwise in the training descriptions for the respective presence event, the training fees include refreshments during breaks and, for full-day training sessions, a lunch with a non-alcoholic drink as well as the costs for training materials.

11. Safety Regulations

Training participants are required to comply with the safety and accident prevention regulations as well as the order regulations applicable on GEDA's premises, especially the access regulations. GEDA employees are authorized to issue instructions to the participants on the premises.

12. Miscellaneous

German law exclusively applies; the place of jurisdiction is Augsburg.
There is no right to participate in live online training sessions with limited participant numbers.
