GEDA Central TERMS OF USAGE
1. Preamble
In the context of business relations, GEDA (hereinafter referred to as "GEDA") offers its customers (hereinafter referred to as "Users") access to various digital services via the GEDA Central platform.
These Terms of Use define the conditions under which the services provided by GEDA are used. It is explicitly pointed out that the business relationship between GEDA and the User is exclusively governed by the General Terms and Conditions of GEDA, available at https://www.geda.de/agb-aeb/ Conditions of the User that contradict or deviate from these terms are not recognized unless their validity is expressly confirmed in writing by GEDA.
2. Usage Rights
Upon successful registration and authentication by GEDA, the User is granted a non-exclusive, non-transferable right to use the GEDA Central platform and the services offered on it. This right of use is limited to the duration of the business relationship between GEDA and the User.
The User agrees not to forward, sell, rent or lease, transfer, assign or otherwise distribute his/her access data to third parties.
By registering for and/or using the GEDA Central portal, the User agrees to the terms of this agreement. If the User does not agree to any part of this agreement, you are not permitted to use the portal and the data offered on it.
The account creator is automatically the administrator in the first step and can invite additional Users. The administrator specifies data such as names and departments of the individuals to be added. Only individuals invited by a person authorized to manage Users within a company account can join it. The User commits to inviting only employees of their organization to their company account. In case of non-compliance, GEDA reserves the right to delete individual accounts or the entire company account.
GEDA reserves the right to change, expand, or restrict the functionality of the GEDA Central account. In this case, the User will be informed in a timely manner.
GEDA is entitled at any time to exclude services for specific areas/countries and devices as determined by them.
GEDA is also entitled to deny access to the GEDA Central platform and/or individual services offered on it and to block the access data handed over to the User if the User violates their obligations under this agreement and does not remedy the violation immediately after being requested to do so by GEDA.
The contract is concluded for an indefinite period and can be terminated by either party with a notice period of five (5) working days. The termination must be in writing, with the instruction to delete the account. The effectiveness of the termination is finalized with the deletion of the account.
3. Data
GEDA is entitled to collect, store, process, and use all data generated within the online services on GEDA Central for the improvement of the services. The disclosure of personal data to third parties without prior written consent from the User is excluded unless it is necessary for the provision of the agreed services or is required by law.

4. Special Features of GEDA Central
a. Machine Management
Certain GEDA machines are equipped with corresponding hardware for communication from the factory. The machine can be linked to the respective GEDA Central account of the User using a registration card provided with the machine. There is no entitlement to the presence of the corresponding hardware in the delivery scope of GEDA machines.
During the introduction, a promotional phase is running. During this promotion, the User is offered a free trial period of twelve months. The activation of Machine Management and thus the trial period must take place within 2 years from the linking date of the machine, otherwise, the entitlement expires.
This expiry period also applies to usage rights (licenses, tariffs, etc.) purchased regularly via the GEDA webshop. The current prices of the online shop apply for the acquisition of access rights.
An automatic chargeable extension of the tariffs for the use of communication services for machine data does not occur.
In the case of retrofitted hardware for GEDA Machine Management, the linking and registration process depends on the initial condition of the machine, and the procedure is specified in the valid documents provided by GEDA. A trial period is not envisaged in this case. Refunds for already purchased licenses and/or vouchers can only be made after invoicing. A corresponding application must be submitted in writing to GEDA.
By using the "GEDA Machine Management" tool, the User allows GEDA to access all collected machine data. The User agrees that GEDA, within the scope of the "GEDA Machine Management" module, receives all machine data, can retrieve it independently, and can use, document, and store it unrestrictedly for the purpose of contract fulfillment. GEDA can continue to use and process the data unrestrictedly and indefinitely, even after the termination of the Terms of Use. Data that is with GEDA remains with GEDA even after the termination of the contractual relationships.
The disclosure of access data by the User is only permitted with prior written consent from GEDA if this does not endanger the purpose of the contract. In the event of disclosure of access data to third parties, any liability of GEDA from any legal perspective is excluded.
The User may only use data obtained through the use of GEDA Central for the purpose of fulfilling the contract.
In the GEDA Machine Management, a specific intended use is defined for the IoT-Flat Standard as follows:
- Manual live data query on demand
- Activation of the live data query not more often than an average of 10 times per day per machine per month
- The GEDA IoT solutions may only be used for the purpose of remote diagnostics, usage recording, location determination, and planning. Usage that deviates from the possibilities provided to the User via web interfaces is not intended.
- The GEDA IoT solutions may only be used with compatible GEDA machines.
If the User intentionally or grossly negligently exceeds these specifications/limits, GEDA is entitled to block the User, terminate the Terms of Use without notice, and prohibit further use of GEDA Central. A refund of the unused remaining amount is not envisaged, as payment occurs on an annual basis and can only be billed annually.
In the case of misuse of the account, GEDA is also entitled to terminate the Terms of Use without notice and remove all data from the platform.
GEDA provides a function for remote locking of machines within the scope of Machine Management. Despite the utmost care, GEDA cannot guarantee error-free functionality of the locking function. The User acknowledges that technical disturbances, including, but not limited to, software errors, hardware failures, or cyber attacks, may occur. GEDA expressly excludes any liability for direct or indirect damages resulting from the use or inability to use the locking function.
b. Installation Designer
The Installation Designer enables the User to perform static calculations for the installation of GEDA devices. GEDA assumes no liability for the accuracy or completeness of the calculations performed by the User.
The responsibility for the correct entry of the necessary data and the use of the results lies solely with the User. The specified User is responsible for the correct application of the Installation Designer. The basis for the calculation of the forces are the User's specifications. These are listed on the printouts and must be checked against the actual conditions. The calculation results do not relieve from observing and complying with the machine documentation (assembly, operation, and maintenance manual).
Despite the highest possible level of care, GEDA assumes no liability for the completeness and accuracy of the calculated anchoring and ground forces resulting from the use of the GEDA Installation Designer. The User is solely responsible for ensuring that the values they enter are complete and correct. The User is solely and exclusively responsible for the parameters they enter when using the GEDA Installation Designer, such as the height of masts, wind loads, on-site specifications and conditions, and the like.
The calculations are based exclusively on data from GEDA devices, GEDA accessories, GEDA spare parts, and the use of other manufacturers is expressly excluded from any liability.
The calculations are not suitable for force majeure, such as environmental disasters, floods, earthquakes, storms, etc., and cannot be assumed for such events.
In this respect, GEDA is only liable in cases of intent, gross negligence also of the owner or the organs as well as the executive staff, in case of culpable injury to life, body, and health, in case of fraudulent concealment of defects or within the scope of a warranty promise. In the case of culpable violation of essential contractual obligations, GEDA is also liable for gross negligence of non-executive employees and for slight negligence, in the latter case limited to the contract-typical, reasonably foreseeable damage. Further claims are excluded.
c. BIM Center
In the GEDA BIM Center, 2D and 3D data for planning GEDA machines in the construction phase or other uses are available for download. GEDA grants the User a non-exclusive, non-transferable, revocable right to use the data exclusively for the purposes of planning buildings and machine setups.
The User commits to observing the applicable copyright and other protective rights when using the data and not to modify, copy, redistribute, sell, or use the data for derivative works without the consent of the operator.
By using the "GEDA BIM Center" tool, the User allows GEDA to access all collected data, to evaluate and process it, and to further develop the platform on this basis. Despite the highest possible level of care, GEDA assumes no liability for the completeness and accuracy of the information and data provided when using the GEDA BIM Center. The User is responsible for verifying the data and information for accuracy in case of doubt. In particular, but not exclusively, for damages and consequential damages resulting from planning based on this data, GEDA assumes no liability.
GEDA reserves the right to update, expand, or restrict the data in the future. The User is responsible for checking the data for currency.
d. Document Center
In the GEDA Document Center, assembly, operating, and maintenance instructions are made available. In addition, circuit diagrams, spare parts lists, and drawings are available.
Access is regulated by a rights structure, whereby different User groups have different access permissions. The regulation and release are solely the responsibility of GEDA. There is no entitlement to this data.
By using the "GEDA Document Center" tool, the User allows GEDA to access all collected data, to evaluate and process it, and to further develop the platform on this basis. Despite the highest possible level of care, GEDA assumes no liability for the completeness and accuracy of the information and data provided when using the GEDA Document Center. The User is responsible for verifying the data and information for accuracy in case of doubt. In particular, but not exclusively, for damages and consequential damages resulting from planning based on this data, GEDA assumes no liability. GEDA reserves the right to update, expand, or restrict the data in the future. The User is responsible for checking the data for currency.
e. Instant Support
GEDA Instant Support offers Users of GEDA machines quick and direct assistance through videos, short texts, and images to support the operation and troubleshooting of the machines. GEDA reserves the right to change, supplement, or remove the provided contents at any time without prior notice. The User acknowledges that the contents are dynamic and may change.
The use of the machines described in the "Instant Support" module requires appropriate suitability and prior instruction of the Users. The User confirms that they are suitable for operating the machines and have been properly instructed.
The contents serve only as an additional source of information. They do not replace the necessary instruction by qualified personnel or the consultation of the machine documentation.
GEDA assumes no liability for any kind of damages resulting from the use of GEDA Instant Support or following the instructions contained therein. This applies in particular to damages resulting from improper operation of the machines.
5. Limitation of Liability
GEDA does not guarantee the accessibility and availability of the GEDA Central platform. GEDA is not liable for business interruptions, lost profits, or other indirect damages resulting from the use or inability to use the offered services.
Liability of GEDA is excluded from any actual and/or legal standpoint, especially for disturbances that are outside the sphere of influence of GEDA.
GEDA is liable only in cases of intent or gross negligence by GEDA itself or an agent or representative, as well as for culpable injury to life, body, or health according to legal provisions. The liability of GEDA in cases of gross negligence is limited to the contract-typical, reasonably foreseeable damage, unless another of the previously mentioned exceptional cases exists.
Otherwise, GEDA is liable only according to the Product Liability Act for culpable violation of cardinal obligations, which are those obligations whose fulfillment makes the proper execution of the contract possible in the first place and on whose compliance the contractual partners regularly rely, or insofar as a defect is fraudulently concealed or a warranty for the quality of the contractual object is assumed. However, the claim for damages is limited to the contract-typical, foreseeable damage if not another of the previously mentioned exceptional cases exists. These regulations apply to all claims for damages, regardless of the legal basis, especially due to defects of a breach of contractual obligations or from tortious acts. They also apply to a claim for compensation of futile expenses. Liability of GEDA for a failure or non-performance of a contractual partner of GEDA, who is engaged in the fulfillment of the contract, is excluded.
6. Google Maps
On our website, we use Google Maps (API) from Google Ireland Limited, Gordon House, 4 Barrow St, Dublin, D04 E5W5, Ireland (“Google”). Google Maps is a web service for displaying interactive (land) maps to visually present geographical information.
Using this service shows you our location and facilitates a possible approach. Already when accessing those sub-pages into which the map from Google Maps is integrated, information about your use of our website (such as your IP address) can be transmitted to servers of Google in the USA and stored there. This occurs regardless of whether Google provides a User account that you are logged in with or if no User account exists. If you are logged in to Google, your data will be directly associated with your account. If you do not wish the association with your profile at Google, you must log out before activating the button. Google stores your data (even for Users who are not logged in) as usage profiles and evaluates them. Such evaluation is carried out in particular according to Art. 6 Para. 1 lit.f DSGVO on the basis of Google's legitimate interests in displaying personalized advertising, market research, and/or demand-oriented design of its website. You have a right to object to the creation of these User profiles, whereby you must direct your objection to Google.
Google Ireland Limited, Gordon House, 4 Barrow St, Dublin, D04 E5W5, Ireland is certified for the US-European data protection agreement "Privacy Shield", which guarantees compliance with the level of data protection applicable in the EU.
If you do not agree with the future transmission of your data to Google in the context of the use of Google Maps, there is also the possibility to completely deactivate the web service of Google Maps by turning off the JavaScript application in your browser. Google Maps and thus also the map display on this website cannot then be used. 7. Miscellaneous
Billing is exclusively via the PayOne payment system by credit card. The credit card billing is carried out by PAYONE GmbH, Lyoner Straße 9, 60528 Frankfurt/Main.
The parties agree that they are independent of each other and that no partnership or employment relationship between the parties is established by this agreement.
This Agreement shall be governed exclusively by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods. The exclusive and sole place of jurisdiction is Augsburg/Germany.
This Agreement constitutes the entire agreement between the parties and supersedes all prior oral or written agreements. Changes to this agreement must be made in writing.
8. Severability clause
Should one of the above provisions of this contract be invalid, ineffective or unenforceable, this shall not affect the effectiveness of the other provisions. In such a case, the parties shall replace the invalid provision by mutual agreement with another provision that comes as close as possible to the content of the invalid provision.

7. Miscellaneous
Billing is exclusively via the PayOne payment system by credit card. The credit card billing is carried out by PAYONE GmbH, Lyoner Straße 9, 60528 Frankfurt/Main.
The parties agree that they are independent of each other and that no partnership or employment relationship between the parties is established by this agreement.
This Agreement shall be governed exclusively by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods. The exclusive and sole place of jurisdiction is Augsburg/Germany.
This Agreement constitutes the entire agreement between the parties and supersedes all prior oral or written agreements. Changes to this agreement must be made in writing.
8. Severability clause
Should one of the above provisions of this contract be invalid, ineffective or unenforceable, this shall not affect the effectiveness of the other provisions. In such a case, the parties shall replace the invalid provision by mutual agreement with another provision that comes as close as possible to the content of the invalid provision.
